What each clause does
- 1. Parties and contentNames who is licensing what. List each deliverable so nobody argues later about which videos the license covers.
- 2. OwnershipThe creator keeps the copyright and the brand gets permission to use it. A full buyout is a different deal, usually priced much higher.
- 3. License termSets the first and last day the content may be used. The end date counts: the content may run on it, and not after.
- 4. Where the content can runOrganic posts and paid ads are separate rights, and paid ads usually cost more. Anything not ticked here is not included.
- 5. Partnership ads and whitelistingLets the brand run ads from the creator's own handle, like Meta partnership ads or TikTok Spark Ads. Access goes through the platform and ends with the license.
- 6. TerritoryWhere in the world the ads can be shown. Most UGC deals are worldwide; narrow it if the price assumed a single country.
- 7. ExclusivityWhether the creator can work with competitors during the deal. If there is exclusivity, it should be narrow, dated and paid for.
- 8. EditsWhat the brand may change. Cutting, captioning and new hooks are usually fine; changing what the creator says or faking their voice is not.
- 9. Fee and paymentHow much, when and how. Listing the usage fee separately from the content fee makes renewals easy to price.
- 10. Extending the licenseAgree the renewal price now, while both sides are happy. Extensions negotiated after the end date usually cost more.
- 11. End of license and takedownSpells out what stopping means on the end date: every paid ad off, including copies the brand forgot about. This is where most disputes start.
- 12. Ad disclosureBoth sides follow advertising disclosure rules, such as the FTC's Endorsement Guides in the US. Paid partnership labels stay on.
- 13. Promises from each sideThe creator confirms the content is theirs to license. The brand takes responsibility for its product claims and ad copy.
- 14. CancellationWhat happens if the deal is called off before delivery. A kill fee pays the creator for work already done.
- 15. General termsStandard housekeeping: changes must be in writing, and the agreement names which law applies.

1. PARTIES AND CONTENT
This agreement is between [Creator legal name] ("Creator") and [Brand legal name] ("Brand"), signed on [date]. If an agency runs ads for Brand, Brand is responsible for the agency following this agreement.
"Content" means the following, delivered by Creator: [list each video, photo or post, with length and delivery date]. It also includes every edit, cut or version Brand makes from it.
2. OWNERSHIP
Creator keeps ownership of the Content, including copyright. Creator grants Brand a [non-exclusive] license to use the Content only as this agreement allows. Any use not listed here needs Creator's written consent.
Brand may not sell, sublicense or give the Content to anyone else, except agencies and platforms that run Brand's own marketing.
3. LICENSE TERM
The license starts on [Start date] (or the day Creator delivers the Content, if later) (the "Start Date") and ends on [End date] (the "End Date"), including the End Date, at 11:59 pm in [time zone]. That whole period is the "License Term".
If no End Date is filled in, the End Date is the [90]th day of the License Term, counting the Start Date as day 1. The license is never perpetual unless this agreement says "perpetual" and a separate fee is paid for it.
4. WHERE THE CONTENT CAN RUN
During the License Term, Brand may use the Content only on the channels ticked below:
[ ] Organic posts on Brand's own accounts: [Instagram, Facebook, TikTok, YouTube, other]
[ ] Brand's website, emails and online store
[ ] Paid ads from Brand's own ad accounts on: [Meta (Facebook and Instagram), TikTok, YouTube, other]
[ ] Partnership ads or whitelisting through Creator's handle (see clause 5)
[ ] Other: [TV, out-of-home, print, in-store; describe]
5. PARTNERSHIP ADS AND WHITELISTING
If ticked in clause 4, Creator will give Brand ad access through the platform's own permission tools (for example, Meta partnership ad permissions or a TikTok Spark Ads code) for the License Term only. Creator never shares a password.
Brand may run only Content and ad copy Creator has approved in writing (email is fine) through Creator's handle, and may not post, comment or message as Creator. Creator will not remove access before the End Date unless Brand breaks this agreement. After the End Date, Creator may remove it at any time, and Brand will withdraw its own access within [3] business days.
6. TERRITORY
Brand may show the Content in: [Worldwide / list countries or regions].
7. EXCLUSIVITY
[Choose 1] No exclusivity: Creator may work with any brand, including competitors.
[Or] Creator will not create paid content for [named competitors or a narrow product category] from [date] to [date]. Brand pays [amount] for this, on top of the license fee.
8. EDITS
Brand may cut, crop, resize, caption, translate, add music it has licensed, add its logo and offers, and combine the Content with other footage, as long as the result doesn't change the meaning of what Creator says.
Brand may not use AI or other tools to create new words, voice, face or body from Creator's likeness, make Creator appear to make a claim they didn't make, or use the Content [in political, adult or other excluded contexts]. Edited versions are covered by this license and end on the same End Date.
9. FEE AND PAYMENT
Brand will pay Creator: content fee [amount]; usage (license) fee [amount]; partnership ads fee [amount, if any]; exclusivity fee [amount, if any]. Total: [amount and currency].
Payment is due [on signing / within [30] days of delivery] by [bank transfer, PayPal, other], against Creator's invoice. If a payment is more than [15] days late, Creator may tell Brand in writing, and Brand will pause paid use of the Content until it is paid.
10. EXTENDING THE LICENSE
Brand may extend the License Term [30] days at a time for [amount] per extension, on the same terms, up to [number] times. Each extension moves the End Date [30] days later. To extend, Brand tells Creator in writing before the End Date and pays within [15] days. Any other extension needs Creator's written agreement.
If Brand runs paid ads with the Content after the End Date without an extension, Brand will pay [150]% of the extension price for each started [30]-day period they ran, and clause 11 still applies. Ads paused within the [48] hours clause 11 allows after Creator's notice, and within [2] days of the End Date, are not charged this fee. Paying this fee does not give Brand the right to keep running the Content.
11. END OF LICENSE AND TAKEDOWN
By the end of the End Date, Brand will stop every use of the Content except those this clause allows, and will pause or delete every paid ad that uses the Content, in every ad account, including duplicates, re-cuts, edited versions, dynamic or catalog ads, and ads run by Brand's agencies or partners. Brand will not start any new use of the Content after the End Date.
Organic posts Brand published during the License Term may [stay up / be removed within [30] days] after the End Date, but may not be boosted or run as ads. Content on Brand's website, emails and online store comes down by the End Date unless ticked here: [ ] may stay. Printed materials already made before the End Date [may / may not] be used up.
Within [3] business days after the End Date, Brand will confirm to Creator in writing that all paid use has stopped.
If Creator finds the Content still running after the End Date, Creator may email Brand a link or screenshot, and Brand will pause it within [48] hours of that email. Clause 10 fees still apply.
12. AD DISCLOSURE
Both parties will follow the advertising disclosure laws and platform rules where the Content runs, including the US FTC Endorsement Guides where they apply. Creator will use the disclosure Brand reasonably asks for (such as #ad or the platform's paid partnership label) on Creator's own posts, and Brand will not remove or hide disclosures.
13. PROMISES FROM EACH SIDE
Creator promises the Content is Creator's original work, and that Creator has permission from anyone else who appears in it and for any music, locations or materials Creator added.
Brand promises the product information and claims it gave Creator are accurate, and is responsible for its own ad copy, targeting and any claims it adds. Each party will cover the other's reasonable costs from a third-party claim caused by its own breach of these promises.
14. CANCELLATION
If Brand cancels before delivery, Brand pays [50]% of the content fee for work done, no license is granted, and Creator refunds any other fees already paid. If Creator doesn't deliver by [delivery date] and doesn't fix it within [7] days of written notice, Brand may cancel and get back any fees paid.
15. GENERAL TERMS
This is the whole agreement about the Content. Changes and extensions must be in writing; email counts. Notices go to the email addresses in the license summary. This agreement is governed by the laws of [state or country], and disputes go to [courts or mediation in that place]. If 1 part can't be enforced, the rest still applies.
