Terms of service

These terms are an agreement between you and Lapse for using Lapse.

What Lapse is (and isn't)

Lapse compares your live Meta ads to the usage-rights information you give it and tells you about likely problems. It is a monitoring aid, not legal advice. Its results depend on the license details you enter and on the data Meta provides. Some ads (for example, creator files re-uploaded without a link to the license) can only be matched after you link them. You remain responsible for your ads and your agreements with creators.

Who can use Lapse

Lapse is for businesses. You must be at least 18 and using Lapse for your work or your company. If you sign up for a company, you confirm you can accept these terms for it.

Your account

• Keep your login email secure. You're responsible for activity in your organization.
• Only connect ad accounts you're authorized to access.
• Don't misuse the service, attempt to access other customers' data, or overload it.

Price and billing

Paid plans are Starter ($79/month, 2 ad accounts), Agency ($249/month, 10 ad accounts) and Scale ($599/month, 30 ad accounts), billed monthly through Stripe. Each monitored ad account above your plan's included accounts costs $19/month, prorated and billed automatically. New accounts get a 14-day free trial of Starter with no card required. Prices may change with 30 days' notice. You can cancel any time in Billing; you keep access until the end of the paid period. If the trial ends without a subscription, your account moves to the free Creator plan: ad checks stop and your data is kept.

Automatic renewal

Paid plans renew automatically every month, and we charge the card on file each month on your billing date at the price shown when you subscribed (plus any extra ad accounts) until you cancel. Before you subscribe we show the price, the renewal terms and how to cancel next to the Subscribe button, and after you subscribe we email you a confirmation with the same details. Cancel online any time in Billing → Manage billing; no call or email is needed. Cancellation takes effect at the end of the current paid month, and you aren't charged again. We tell you about price changes by email at least 30 days before they apply.

Changing plans

You can upgrade or switch plans in Billing. Before anything changes, we show you a review page with the amount due today, your new monthly price and the renewal terms, and the change only happens after you tick the agreement box and confirm. An upgrade takes effect right away and we charge the prorated difference for the rest of your billing period. A switch to a smaller plan also takes effect right away, and the unused part of your old plan is credited to your next bill.

Refunds

All sales are final. We don't give refunds, including for partial months, unused accounts or time left when you cancel, except where the law requires it. When you cancel, you keep access until the end of the month you paid for and aren't charged again. Prices don't include sales tax or similar taxes; where tax applies, it's added at checkout.

Your data

Your data stays yours. We use it only to provide the service, as described in the privacy policy. You can delete it any time. You confirm that you have the right to give us the license details, creator information and files you add to Lapse, and that adding them doesn't break any agreement or law.

Meta access

When you connect Meta, you authorize Lapse to read ad information from the ad accounts you choose, using read-only permission. Lapse doesn't create, edit or pause ads. Your use of Meta stays subject to Meta's own terms, and you can remove Lapse's access any time in your Facebook settings or in Lapse.

No warranty; limited liability

The service is provided "as is". To the extent the law allows, we aren't liable for indirect or consequential losses, including creator fees or claims, and our total liability is limited to the amount you paid us in the 12 months before the claim.

Changes and ending

We may update these terms and will tell you about material changes by email. You can stop using Lapse and delete your organization at any time. We may suspend accounts that break these terms.

Law and disputes

These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. If something goes wrong, email us first and we'll try to sort it out within 30 days. If we can't, the state and federal courts in California have exclusive jurisdiction. If part of these terms can't be enforced, the rest still applies. These terms, the privacy policy and anything you agree to at checkout are the whole agreement between us.

Copyright complaints (DMCA)

If you believe content stored in Lapse infringes your copyright, send a notice to our designated agent with: your signature; the work you say is infringed; the material and where it is; your contact details; a statement that you believe in good faith the use isn't authorized; and a statement, under penalty of perjury, that your notice is accurate and you're the owner or authorized to act for them. We remove infringing material and close the accounts of repeat infringers.
